Google Group Code of Conduct

The full WIM Google Group Code of Conduct and Terms of Use Agreement is below. For your convenience, here is a summary of the key rules from the policy to keep in mind when using the WIM Google Group.

The Key Rules from WIM's Google Group Policy:

1. Do not “reply all” to messages. Please send your responses to messages privately. Make sure that you manually remove “wimmembers@googlegroups.com” from the address field in your response to the original sender. This also applies if you want to know the responses to someone else’s email to the group. Privately message the sender and ask them to forward you the answers they receive.

2. Use discretion in the frequency of your posts. In the event that a member abuses the posting privilege by sending a high volume of emails, WIM may suspend or revoke that member’s membership to WGG.

3. Relevance and Accuracy:

a. Your postings must be relevant to the mission of WIM. However, this does not mean that your message must be about music or women-only events. Our mission is to advance the awareness, equality, diversity, heritage, opportunities, and cultural aspects of women in the musical arts through education, support, empowerment, and recognition. Before posting, please ask yourself: Is this post related to WIM’s mission? If not, you should not post.
b. Posts relating to housing, new music/video releases, and general notices about events/performances should be sent to the following WIM email addresses. These posts will be included in a weekly email digest that will be sent to the WIM Google group on Mondays. To submit your request please complete the form here.
c. No “bait and switch” postings. Do not send deceptive emails that seem to be about a matter related to WIM, but upon inspection are really unrelated or are promoting an outside service. Your posts should be about real opportunities for WIM members.
d. No use of the Women in Music or WIM marks or confusingly similar marks without WIM’s prior written approval. Please do not post events or content that could be confused with official WIM events or WIM authorized content. Before you post, please ask yourself, will people likely think this is coming from WIM? If so, please do not send it and contact WIM at events@womeninmusic.org so that we can further discuss.
e. Requests for Contacts: Please specify why you are requesting the contact and provide as much information as possible in connection with your request. A request with no context will not be approved to be posted to the group.

4. Jobs and Internships:
We welcome posts by employers and messengers in the Google group with open positions in the music and related industries. However:

  • No sending of unsolicited resumes for jobs/internships or sending posts seeking job opportunities; and

  • No soliciting of Human Resource contacts. Please refer to the website of the company in which you are interested and follow the company’s guidelines regarding contacting the company’s HR department.

  • Employers and job seekers can also post in the forum about job hunting located on the womeninmusic.org website.

5. Decorum:

  • No airing of beliefs or opinions on politics, ethnicity, sexual orientation, or religion.

  • No profanity or other foul language.

  • No diary-like, personal thoughts on life, personal situations, or ramblings. We are supportive to each other, but we are not a “support group” for personal issues.

  • No personal attacks or gossip of other individuals.

  • Please use discretion in the frequency of your posts. We welcome everyone to post to the Google Group, but urge our members to be considerate of each other’s inboxes. If you notice a lot of emails/activity in the Google group on a particular day and your post is not urgent, please be mindful of this and consider emailing the group the next day to curb down on email traffic. This will also increase the chances that your post will get noticed!

  • We discourage sending duplicative posts. If you are sending a duplicate or similar post, please use discretion and consider: i) how much time has elapsed since the last post, and ii) is there a justification for sending a follow up post.

  • Finally, in general, please keep your postings polite, professional, and brief to maintain the integrity of the Google group and the organization.

Women in Music Google Group Code of Conduct & Terms of Use Agreement

Current members of Women in Music, Inc. (WIM) have the option to join the WIM Google Group (“WGG”). The WGG is a medium that is controlled, moderated, and provided by WIM and allows current WIM members to engage in email communications with each other that are relevant to the mission of WIM.
If all WGG users (or WIM members) abide by the rules of this Code of Conduct & Terms of Use Agreement (the “WGG agreement”), and offer each other support and respect, the WGG can be a well-managed and pleasant place for all WIM members who choose to participate in it. In addition to the terms of this agreement (defined below), WIM members who choose to join the WGG should also be aware of 'Netiquette' and treat people as reasonable people would like to be treated in real life. If at any time, any WIM member who has joined the WGG wishes to be removed from the WGG, please send an email with your removal request to Jessie Massabni at JMassabni@womeninmusic.org.

  1. Agreement to be bound by the WGG Code of Conduct and Terms of Use and the Google Group: Terms of Service
    The entry of any WIM member into the WGG automatically constitutes said member’s agreement at all times to abide by this agreement during their membership in the WGG. This agreement also applies to existing members that joined the WGG prior to the date of initial publication of this agreement. Since the WGG is managed through Google, all members who join the WGG also agree to Google’s Google Group: Terms of Service, which can be found here: https://www.privacy.org.au/Papers/G-Groups-terms-120127.html, and which may be updated from time to time in Google’s discretion (the “Google TOS”). The WGG Agreement and the Google TOS are collectively referred to hereunder as the “agreement.” If you do not agree to be bound by this agreement, please immediately send an email requesting removal from the WGG to JMassabni@womeninmusic.org.

  2. Member Benefit
    The ability to join the WGG is considered a WIM member benefit that a member can lose for failure to abide by this agreement. Loss or suspension of the WGG benefit for failure to abide by this agreement does not always automatically result in a concurrent loss of membership to WIM, but in some cases it may, at the sole discretion of WIM. WIM membership fees are not refunded in the event of loss or suspension of the WGG benefit.

  3. Modifications
    WIM reserves the right, at its sole discretion, to change, modify, or otherwise alter this WGG agreement at any time. Such modifications will become effective immediately upon the posting of the modifications on the womeninmusic.org website. If you are a member that participates in the WGG, then it is your duty to review this agreement on a regular basis to keep yourself apprised of any and all changes.

  4. Acceptable Content & Activity
    The content of acceptable emails distributed to the WGG must be relevant to the mission of WIM and must be presented and distributed in a professional and respectful manner to the WGG community. The WIM mission is stated on the WIM website at www.womeninmusic.org. If you are a member that participates in the WGG, then it is your duty to review the mission of WIM on a regular basis to keep yourself apprised of any changes to the WIM mission.
    If you are requesting a contact, you should specify why you are requesting the contact and provide as much information as possible in connection with your request.
    b. Posts relating to housing, new music/video releases, and general notices about events/performances should be sent to the following WIM email addresses.   5. Members must use discretion in the frequency of your posts. In the event that a member abuses the posting privilege by sending a high volume of emails, WIM may suspend or revoke that member’s membership to WGG. As the WGG is a service that allows WIM members to engage in email communication with each other, all users must be mindful to not “reply all” to the entire WGG community when responding to emails sent on the WGG. Remember that choosing “reply all” automatically goes to the entire WGG community, not just the individual who posted the message. To properly respond to WGG email postings, one must change the “To:” address line to respond directly to an individual.

  6. Prohibited Content/Activity, and Consequences for Prohibited Content/Activity
    The following are examples of the kinds of content and activity that is prohibited on the WGG. This is not an exhaustive list and WIM may prohibit any unreasonable content/activity in its discretion.

  7. Spams the WGG community

  8. Harasses or personally attacks any of WIM’s members or advocates harassment of another person

  9. Is irrelevant to WIM members and/or the WIM mission

  10. Lacks professionalism and courtesy

  11. Contains personal and/or diary-like information and opinions

  12. Contains personal opinions on politics, ethnicity, sexual orientation, or religion

  13. Engages in behavior or activity that results in complaints from other members in the WGG, and is also deemed unreasonably intrusive, offensive, unprofessional, inappropriate, or in poor taste, in the sole discretion of WIM

  14. Is patently offensive and/or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual

  15. Contains unsolicited resumes or requests for Human Resources contacts

  16. Contains nudity, excessive violence, or offensive subject matter or contains a link to an adult website

  17. Posts information that poses or creates a violation of privacy or security risk to any person

  18. Constitutes or promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous

  19. Constitutes or promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files

  20. Involves the transmission of "junk mail," or "chain letters,"

  21. Furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses

  22. Solicits passwords or personal identifying information for commercial or unlawful purposes from other members

  23. Includes a photograph or video of another person that you have shared or posted without that person's consent

  24. Violates the privacy rights, publicity rights, copyrights, trademark rights, contract rights or any other rights of any person or party, or constitutes defamation

  25. Criminal or tortious activity of any kind, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets

  26. Activity that involves the use of viruses, Trojan horses,bots, worms, or any other computer code, files or programs that interrupt, hack, destroy or limit the functionality of email accounts, any computer software or hardware, the WGG, or otherwise permits the unauthorized use of or access to a computer or a computer network

  27. Interfering with, disrupting, or creating an undue burden on the WGG

  28. Impersonating or attempting to impersonate another member, person or entity

  29. Contains profanity or other foul language

  30. “Bait and switch” postings (i.e. deceptive emails that seem to be about a matter related to WIM but upon inspection are really unrelated or are promoting an outside service).

  31. Use of the Women in Music or WIM marks or confusingly similar marks without WIM’s prior written approval.

  32. Contains gossip about or is a personal attack on another member or any third party.

  33. Using the WGG in a manner inconsistent with any and all applicable local, state, and federal laws and regulations

If a member fails to follow the terms of this agreement, WIM may, in WIM’s sole discretion, suspend the member’s participation in or remove the member from the WGG or WIM. Additionally, WIM may investigate violations of this agreement and members agree to cooperate with such investigations. In egregious circumstances, WIM may report violations to legal authorities or take other legal action in order to protect the integrity of the WGG and WIM.

Members who have had their participation in the WGG or WIM suspended or terminated by reason of breaching this agreement, for any reason, including but not limited to engaging in prohibited content or activity in the WGG, are not entitled to membership dues refund(s) of any kind whatsoever.

  1. Limitation on Liability and Disclaimers
    WIM cannot and does not guarantee or warrant that the WGG will be uninterrupted or error-free, that defects in it will be corrected or that the WGG or the server(s) that make it available are free of viruses or other harmful components to your email account(s), computer(s), or network(s).

    WIM cannot and does not guarantee that any files shared by members that participate in the WGG which are available for downloading, will be free of viruses, Trojan horses, or other code that may cause damage or harm to your email account(s), computer(s) or network(s). Further, WIM is not responsible for any injury or damage to any computer equipment or email account(s) belonging to any member resulting from their participation in the WGG. The WGG is provided "AS IS" and, except as otherwise prohibited by applicable law, we expressly disclaim any warranty of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement.

    WIM is not responsible for any incorrect, inaccurate, illegal or unprohibited content, activity or conduct, whether online or offline, by any member that participates in the WGG. Under no circumstances will WIM be held liable or secondarily liable for any loss, liability or damage of any kind resulting from the content, activity, or conduct, whether online or offline, by any member in the WGG, including but not limited to copyright or trademark infringement, defamation, harassment, personal injury, death or property damage.

    WIM cannot, and does not guarantee or promise any specific results from use of the WGG. In no event will WIM, its directors, officers, employees, volunteers, agents, contractors, suppliers, licensors or third parties connected with WIM be liable for any damages resulting from your participation in the WGG, whatsoever, including, but not limited to, any special, incidental, or consequential damages, direct or indirect damages, damages for lost profits, lost business, loss of revenue or loss of use, and any other losses or expenses arising out of or related to any use, whatsoever, of the WGG.

  2. Indemnification
    You agree to indemnify and hold WIM and its subsidiaries, affiliates, officers, directors, members, volunteers, managers, agents, representatives, employees and corporate or other partners harmless from any loss, liability, claim, expenses or demand, including reasonable attorneys' fees and costs, arising out of or relating to your participation in the WGG.

  3. Miscellaneous
    This agreement is governed by and construed in accordance with the laws of the State of New York, United States of America, without regards to its principles of conflicts of law. In the event of any claim or litigation resulting out of this agreement, you agree to submit to the exclusive jurisdiction of any State or Federal court located in the County of New York, NY, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of this agreement is found to be unlawful, void or for any reason unenforceable, then that provision will be deemed severable from this agreement and will not affect the validity and enforceability of any remaining provisions. This is the entire agreement relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements or representations made by WIM with respect to such subject matter. This agreement is not assignable, transferable or sublicensable by you. No waiver by WIM of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default.

These Terms of Service (Terms) apply to your access to and use of the websites and other online products and services (collectively, the Services) provided by Women In Music, Inc. (“WIM” or we). By using our Services, you agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 15. If you do not agree to these Terms, do not use our Services.

1. Eligibility
You must be at least 18 years of age to use our Services. If you are under 18 years of age (or the age of legal majority where you live), you may use our Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. If you are a parent or legal guardian of a user under the age of 18 (or the age of legal majority), you agree to be fully responsible for the acts or omissions of such user in relation to our Services. If you use our Services on behalf of another person or entity,(a) all references to “you” throughout these Terms will include that person or entity, (b) you represent that you are authorized to accept these Terms on that person’s or entity’s behalf, and (c) in the event you or the person or entity violates these Terms, the person or entity agrees to be responsible to us.

2. User Accounts and Account Security
You may need to register for an account to access some or all of our Services. If you register for an account, you must provide accurate account information and promptly update this information if it changes. You also must maintain the security of your account and promptly notify us if you discover or suspect that someone has accessed your account without your permission. If you permit others to use your account credentials, you are responsible for the activities of such users that occur in connection with your account. We reserve the right to reclaim usernames, including on behalf of businesses or individuals that hold legal claim, including trademark rights, in those usernames.

3. Membership, Fees, & Refunds
You may purchase or be given a membership with WIM (“WIM Membership”) through our Services. Automatic renewal is also available when you join or renew your WIM membership online. This means that at the beginning of the membership year, you will automatically be charged for the next membership period. An email reminder will be sent prior to renewal. You may also purchase event tickets (“WIM Tickets”) and merchandise (“WIM Merchandise”) through our Services. Your purchase or acceptance of any WIM Membership through the Services is governed by these Terms. All membership fees are shown in local currency. To the fullest extent permitted by applicable law, you are responsible for any taxes or fees due with respect to your purchase and use of a WIM Membership. You agree to pay for such taxes or fees as such costs are specified by us when you submit your order. We reserve the right to reject your order for a WIM Membership without prior notice. Prices for WIM Memberships are subject to change at any time, but changes will not affect any order for products you have already placed. By providing a credit card or other payment method accepted by us, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your order (including any applicable taxes and other charges). If the payment method cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled. You must resolve any problem we encounter in order to proceed with your order for a WIM Membership. No refunds for fees, taxes or other dues related to a WIM Membership will be provided under any circumstances.

4. User Content
(a) Our Services may allow you and other users to create, post, store and share content, including messages, text, photos, videos, music, software and other materials (collectively, User Content). Except for the license you grant below, you retain all rights in and to your User Content, as between you and WIM.

(b) You grant WIM a perpetual, nonexclusive, royalty-free, worldwide, fully paid, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display your User Content and any name, username or likeness provided in connection with your User Content in all media formats and channels now known or later developed without compensation to you. When you post or otherwise share User Content on or through our Services, you understand that your User Content and any associated information (such as your username or avatar) may be visible to others.

(c) You may not create, post, store or share any User Content that violates these Terms or for which you do not have all the rights necessary to grant us the license described above. You represent and warrant that your User Content, and our use of such content as permitted by these Terms, will not violate any rights of or cause injury to any person or entity. Although we have no obligation to screen, edit or monitor User Content, we may delete or remove User Content at any time and for any reason with or without notice.

(d) The views expressed in the content of our members do not necessarily reflect the official policies or positions of WIM or WIM’s board of directors. WIM is not responsible for content that third parties publish or otherwise disseminate, which may be linked to here. Links are not an endorsement. WIM is not responsible for the content of any website it doesn’t operate and takes no responsibility whatsoever for third-party information posted on others’ websites and linked to here. WIM specifically disclaims adoption or incorporation by reference of such information as its own.

5. Prohibited Conduct and Content
(a) You will not violate any applicable law, contract, intellectual property right or other third-party right or commit a tort, and you are solely responsible for your conduct while using our Services. You will not:

  • Engage in any harassing, threatening, intimidating, predatory or stalking conduct;

  • Use or attempt to use another user’s account without authorization from that user and WIM;

  • Impersonate or post on behalf or any person or entity or otherwise misrepresent your affiliation with a person or entity;

  • Sell, resell or commercially use our Services;

  • Copy, reproduce, distribute, publicly perform or publicly display all or portions of our Services, except as expressly permitted by us or our licensors;

  • Modify our Services, remove any proprietary rights notices or markings, or otherwise make any derivative works based upon our Services;

  • Use our Services other than for their intended purpose and in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying our Services or that could damage, disable, overburden or impair the functioning of our Services in any manner;

  • Reverse engineer any aspect of our Services or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any part of our Services;

  • Use any data mining, robots or similar data gathering or extraction methods designed to scrape or extract data from our Services;

  • Develop or use any applications that interact with our Services without our prior written consent;

  • Send, distribute or post spam, unsolicited or bulk commercial electronic communications, chain letters, or pyramid schemes;

  • Bypass or ignore instructions contained in our robots.txt file; or

  • Use our Services for any illegal or unauthorized purpose, or engage in, encourage or promote any activity that violates these Terms.

(b) You may also post or otherwise share only User Content that is nonconfidential and that you have all necessary rights to disclose. You may not create, post, store or share any User Content that:

  • Is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory or fraudulent;

  • Would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party or otherwise create liability or violate any local, state, national or international law;

  • May infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;

  • Contains or depicts any statements, remarks or claims that do not reflect your honest views and experiences;

  • Impersonates, or misrepresents your affiliation with, any person or entity;

  • Contains any unsolicited promotions, political campaigning, advertising or solicitations;

  • Contains any private or personal information of a third party without such third party’s consent;

  • Contains any viruses, corrupted data or other harmful, disruptive or destructive files or content; or

  • In our sole judgment, is objectionable, restricts or inhibits any other person from using or enjoying our Services, or may expose WIM or others to any harm or liability of any type.

(c) Enforcement of this Section 5 is solely at WIM's discretion, and failure to enforce this section in some instances does not constitute a waiver of our right to enforce it in other instances. In addition, this Section 5 does not create any private right of action on the part of any third party or any reasonable expectation that the Services will not contain any content that is prohibited by such rules.

6. Ownership; Limited License
The Services, including the text, graphics, images, photographs, videos, illustrations and other content contained therein, are owned by WIM or our licensors and are protected under both United States and foreign laws. Except as explicitly stated in these Terms, all rights in and to the Services are reserved by us or our licensors. Subject to your compliance with these Terms, you are hereby granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use our Services for your own personal, noncommercial use. Any use of the Services other than as specifically authorized herein, without our prior written permission, is strictly prohibited, will terminate the license granted herein and violate our intellectual property rights.

7. Trademarks
Women in Music, WIM, Womxn in Music, and our logos, our product or service names, our slogans and the look and feel of the Services are trademarks of WIM and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned on the Services are the property of their respective owners. Reference to any products, services, processes or other information by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation by us.

8. Feedback
You may voluntarily post, submit or otherwise communicate to us any questions, comments, suggestions, ideas, original or creative materials or other information about WIM or our Services (collectively, Feedback). You understand that we may use such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you, including to develop, copy, publish, or improve the Feedback in WIM’s sole discretion. You understand that WIM may treat Feedback as nonconfidential.

9. Repeat Infringer Policy; Copyright Complaints
In accordance with the Digital Millennium Copyright Act and other applicable law, we have adopted a policy of terminating, in appropriate circumstances, the accounts of users who repeatedly infringe the intellectual property rights of others. If you believe that anything on our Services infringes any copyright that you own or control, you may notify WIM’s designated agent as follows:

Please see 17 U.S.C. § 512(c)(3) for the requirements of a proper notification. Also, please note that if you knowingly misrepresent that any activity or material on our Services is infringing, you may be liable to WIM for certain costs and damages.

10. Third-Party Content
We may provide information about third-party products, services, activities or events, or we may allow third parties to make their content and information available on or through the Services (collectively, Third-Party Content). We provide Third-Party Content as a service to those interested in such content. Your dealings or correspondence with third parties and your use of or interaction with any Third-Party Content are solely between you and the third party. WIM does not control or endorse, and makes no representations or warranties regarding, any Third-Party Content, and your access to and use of such Third-Party Content is at your own risk.

11. Indemnification
To the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless WIM and our officers, directors, agents, partners and employees (individually and collectively, theWIM Parties) from and against any losses, liabilities, claims, demands, damages, expenses or costs (Claims) arising out of or related to (a) your access to or use of the Services; (b) your User Content or Feedback; (c) your violation of these Terms; (d) your violation, misappropriation or infringement of any rights of another (including intellectual property rights or privacy rights); or (e) your conduct in connection with the Services. You agree to promptly notify WIM Parties of any third-party Claims, cooperate with WIM Parties in defending such Claims and pay all fees, costs and expenses associated with defending such Claims (including attorneys' fees). You also agree that the WIM Parties will have control of the defense or settlement, at WIM's sole option, of any third-party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and WIM or the other WIM Parties.

12. Disclaimers
Your use of our Services is at your sole risk. Except as otherwise provided in a writing by us, our Services and any content therein are provided “as is” and “as available” without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. In addition, WIM does not represent or warrant that our Services are accurate, complete, reliable, current or error-free. While WIM attempts to make your use of our Services and any content therein safe, we cannot and do not represent or warrant that our Services or servers are free of viruses or other harmful components. You assume the entire risk as to the quality and performance of the Services.

13. Limitation of Liability
(a)To the fullest extent permitted by applicable law, WIM and the other WIM Parties will not be liable to you under any theory of liability—whether based in contract, tort, negligence, strict liability, warranty, or otherwise—for any indirect, consequential, exemplary, incidental, punitive or special damages or lost profits, even if WIM or the other WIM Parties have been advised of the possibility of such damages.

(b)The total liability of WIM and the other WIM Parties for any claim arising out of or relating to these Terms or our Services, regardless of the form of the action, is limited to the greater of $50 or the amount paid by you to use our Services.

(c)The limitations set forth in this Section will not limit or exclude liability for the gross negligence, fraud or intentional misconduct of WIM or the other WIM Parties or for any other matters in which liability cannot be excluded or limited under applicable law. Additionally, some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

14. Transfer and Processing Data
In order for us to provide our Services, you agree that we may process, transfer and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law.

15. Dispute Resolution; Binding Arbitration
Please read the following section carefully because it requires you to arbitrate certain disputes and claims with WIM and limits the manner in which you can seek relief from us, unless you opt out of arbitration by following the instructions set forth below. No class or representative actions or arbitrations are allowed under this arbitration provision. In addition, arbitration precludes you from suing in court or having a jury trial.

(a)No Representative Actions. You and WIM agree that any dispute arising out of or related to these Terms or our Services is personal to you and WIM and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action or any other type of representative proceeding.

(b)Arbitration of Disputes. Except for small claims disputes in which you or WIM seeks to bring an individual action in small claims court located in the county of your billing address or disputes in which you or WIM seeks injunctive or other equitable relief for the alleged infringement or misappropriation of intellectual property, you and WIM waive your rights to a jury trial and to have any other dispute arising out of or related to these Terms or our Services, including claims related to privacy and data security, (collectively, “Disputes”) resolved in court. Instead, for any Dispute that you have against WIM you agree to first contact WIM and attempt to resolve the claim informally by sending a written notice of your claim (Notice) to WIM by email at legal@womeninmusic.org or by certified mail addressed to Women in Music, Inc. 1201 Third Ave., Suite 4900 c/o Perkins Coie LLP 1201 Third. Ave, Suite 4900, Seattle, WA 98101. The Notice must (a) include your name, residence address, email address, and telephone number; (b) describe the nature and basis of the Dispute; and (c) set forth the specific relief sought. Our notice to you will be similar in form to that described above. If you and WIM cannot reach an agreement to resolve the Dispute within thirty (30) days after such Notice is received, then either party may submit the Dispute to binding arbitration administered by JAMS or, under the limited circumstances set forth above, in court. All Disputes submitted to JAMS will be resolved through confidential, binding arbitration before one arbitrator. Arbitration proceedings will be held in New York, New York unless you are a consumer, in which case you may elect to hold the arbitration in your county of residence. For purposes of this Section 15, a consumer means a person using the Services for personal, family or household purposes. You and WIM agree that Disputes will be held in accordance with the JAMS Streamlined Arbitration Rules and Procedures (JAMS Rules). The most recent version of the are available on the JAMS website and are hereby incorporated by reference. You either acknowledge and agree that you have read and understand the JAMS Rules or waive your opportunity to read the JAMS Rules and waive any claim that the JAMS Rules are unfair or should not apply for any reason.

(c)You and WIM agree that these Terms affect interstate commerce and that the enforceability of this Section 15 will be substantively and procedurally governed by the Federal Arbitration Act, 9 U.S.C. § 1, et seq. (the FAA), to the maximum extent permitted by applicable law. As limited by the FAA, these Terms and the JAMS Rules, the arbitrator will have exclusive authority to make all procedural and substantive decisions regarding any Dispute and to grant any remedy that would otherwise be available in court, including the power to determine the question of arbitrability. The arbitrator may conduct only an individual arbitration and may not consolidate more than one individual’s claims, preside over any type of class or representative proceeding or preside over any proceeding involving more than one individual.

(d)The arbitrator, WIM, and you will maintain the confidentiality of any arbitration proceedings, judgments and awards, including information gathered, prepared and presented for purposes of the arbitration or related to the Dispute(s) therein. The arbitrator will have the authority to make appropriate rulings to safeguard confidentiality, unless the law provides to the contrary. The duty of confidentiality does not apply to the extent that disclosure is necessary to prepare for or conduct the arbitration hearing on the merits, in connection with a court application for a preliminary remedy or in connection with a judicial challenge to an arbitration award or its enforcement, or to the extent that disclosure is otherwise required by law or judicial decision.

(e)You and WIM agree that for any arbitration you initiate, you will pay the filing fee (up to a maximum of $250 if you are a consumer), and WIM will pay the remaining JAMS fees and costs. For any arbitration initiated by WIM, WIM will pay all JAMS fees and costs. You and WIM agree that the state or federal courts of the State of New York and the United States sitting in New York, New York have exclusive jurisdiction over any appeals and the enforcement of an arbitration award.

(f)Any Dispute must be filed within one year after the relevant claim arose; otherwise, the Dispute is permanently barred, which means that you and WIM will not have the right to assert the claim.

(g)You have the right to opt out of binding arbitration within 30 days of the date you first accepted the terms of this Section 15 by email at legal@womeninmusic.org or by certified mail to Women in Music, Inc. 1201 Third Ave., Suite 4900 c/o Perkins Coie LLP 1201 Third. Ave, Suite 4900, Seattle, WA 98101 In order to be effective, the opt-out notice must include your full name and address and clearly indicate your intent to opt out of binding arbitration. By opting out of binding arbitration, you are agreeing to resolve Disputes in accordance with Section 16.

(h)If any portion of this Section 15 is found to be unenforceable or unlawful for any reason, (a) the unenforceable or unlawful provision shall be severed from these Terms;

(i) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of this Section 15 or the parties’ ability to compel arbitration of any remaining claims on an individual basis pursuant to this Section 15; and (c) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration. Further, if any part of this Section 15 is found to prohibit an individual claim seeking public injunctive relief, that provision will have no effect to the extent such relief is allowed to be sought out of arbitration, and the remainder of this Section 15 will be enforceable.

16 Governing Law and Venue
Any dispute arising from these Terms and your use of the Services will be governed by and construed and enforced in accordance with the laws of New York, except to the extent preempted by U.S. federal law, without regard to conflict of law rules or principles (whether of New York or any other jurisdiction) that would cause the application of the laws of any other jurisdiction. Any dispute between the parties that is not subject to arbitration or cannot be heard in small claims court will be resolved in the state or federal courts of New York and the United States, respectively, sitting in New York, New York.

17 Modifying and Terminating our Services
We reserve the right to modify our Services or to suspend or stop providing all or portions of our Services at any time. You also have the right to stop using our Services at any time. We are not responsible for any loss or harm related to your inability to access or use our Services.

18 Additional Terms and Amendments

(a)We may supply different or additional terms in relation to some of our Services, and those different or additional terms become part of your agreement with us if you use those Services. If there is a conflict between these Terms and the additional terms, the additional terms will control for that conflict.

(b)We may make changes to these Terms from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through our Services or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our Services.

19 Severability
If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

20 Miscellaneous
The failure of WIM to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. These Terms reflect the entire agreement between the parties relating to the subject matter hereof and supersede all prior agreements, representations, statements and understandings of the parties. The section titles in these Terms are for convenience only and have no legal or contractual effect. Use of the word “including” will be interpreted to mean “including without limitation.” Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity. You agree that communications and transactions between us may be conducted electronically.

Information You Provide to Us
We collect information you provide directly to us. For example, you share information directly with us when you create an account, provide information for use in the Panelist Directory, register for WIM events, fill out a form (such as to request mentorship or sign up to be a panelist), submit or post content through our Services, send an email to one of our listservs, participate in a contest, survey or promotion, make a purchase, register for an event, communicate with us via third party platforms, request customer support or otherwise communicate with us. The types of information we may collect include your name, age range, contact information, such as email address, postal address, and phone number, credit card or other payment information, photo, professional and demographic information, social media handle, and any other information you choose to provide.

Information We Collect Automatically When You Interact with Us
When you access or use our Services or otherwise transact business with us, we automatically collect certain information, including:

  • Log Information: We collect information about your activity on our Services, such as the type of browser you use, access times, pages viewed, your IP address and the page you visited before navigating to our website.

  • Transactional Information: When you make a donation to or purchase a membership or merchandise from WIM, we collect information about the transaction, such as donation or purchase details, donation amount or purchase price, and the date and location of the transaction.

  • Match WIM members with speaking engagements, panelist opportunities, employment opportunities, or other relevant opportunities;

  • Publish membership directories and registration lists;

  • Personalize and improve your experience on our Services;

  • Send you technical notices, security alerts, and support and administrative messages;

  • Respond to your comments and questions and provide customer service;

  • If you are a WIM member, we share certain of your personal information with other WIM members, including but not limited to through the WIM Panelist Directory and registration lists for WIM programs and events;

  • We share personal information with vendors, service providers, and consultants that need access to personal information in order to perform services for us, such as companies that assist us with web hosting, shipping and delivery, payment processing, fraud prevention, customer service, and marketing and advertising.

  • We share personal information with third parties for their own services and marketing purposes, unless you opt out of this type of sharing by emailing us at wim@womeninmusic.org.

  • We may disclose personal information if we believe that disclosure is in accordance with, or required by, any applicable law or legal process, including lawful requests by public authorities to meet national security or law enforcement requirements.

  • We may share personal information if we believe that your actions are inconsistent with our user agreements or policies, if we believe that you have violated the law, or if we believe it is necessary to protect the rights, property, and safety of WIM, our users, the public, or others.

Forum Code of Conduct

Current members of Women In Music Inc. (WIM) have the option to participate in the WIM forum (“WIMF”) located on womeninmusic.org. The WIMF is a medium that is owned, moderated, and provided by WIM which allows current WIM members to create a user generated profile and engage in communications that are relevant to the mission of WIM. Profiles and postings made by members on the WIMF can be viewed by non members, and any and all parties that visit womeninmusic.org.

If all WIMF participants abide by the rules of this forum policy(“agreement”), and offer each other support and respect, the WIMF can be a well-managed and pleasant place for all WIM Members who choose to participate in it. In addition to the terms of this agreement, WIM members who choose to join the WIMF should also be aware of ‘Netiquette’ and treat people as reasonable people would like to be treated in real life.

If at any time, any WIM member who has joined the WIMF wishes to be removed from the WIMF, please immediately send an email with your removal request to Jennifer@jnslawoffices.com.

  1. Agreement to be bound by the WIMF Code of Conduct and Terms of Use
    The entry of any WIM member into the WIMF automatically constitutes said member’s agreement at all times to abide by this agreement during their participation in the WIMF. This agreement also applies to existing members that joined the WIMF prior to the date of initial publication of this agreement. If you are an existing member who joined the WIMF prior to the initial date of publication of this agreement, and you do not agree to be bound by this agreement, then please immediately send an email requesting removal from the WIMF to Jennifer@jnslawoffices.com. Said request for removal under these circumstances made by existing members who joined the WIMF prior to the initial date of publication of this agreement shall not concurrently operate to result in loss of overall membership to WIM.

  2. Member Benefit
    The ability to join the WIMF is considered a WIM member benefit that a member can lose for failure to abide by this WIMF Code of Conduct and Terms of Use. Loss or suspension of the WIMF benefit for failure to abide by this Code of Conduct and Terms of Use does not always automatically result in a concurrent loss of membership to WIM, but in some cases it may, at the sole discretion of WIM.

  3. Modifications
    WIM reserves the right, at its sole discretion, to change, modify, or otherwise alter the WIMF Code of Conduct and Terms of Use at anytime. Such modifications and sufficient notice thereof shall become effective immediately upon the posting of the modifications on the womeninmusic.org website. If you are a member that participates in the WIMF, then it is your duty to review this agreement on a regular basis to keep yourself apprised of any and all changes.

  4. Acceptable Content/Activity
    The content of acceptable communications distributed on the WIMF shall be relevant to the mission of WIM and shall be presented and distributed in a professional and respectful manner to the WIMF community. The WIM mission is stated on the WIM website at www.womeninmusic.org. If you are a member that participates in the WIMF, then it is your duty to review the mission of WIM on a regular basis to keep yourself apprised of any changes to the WIM mission.

  5. Prohibited Content/Activity, and Consequences for Prohibited Content/Activity
    The following are examples of the kind of content and activity that is illegal and/or or prohibited on the WIMF. WIM reserves the right to investigate, and in certain circumstances, take appropriate action, including legal action, against anyone who, in our sole discretion, violates this provision, including without limitation, removing or suspending the members participation in the WIMF or in WIM, and reporting to legal authorities if a situation requires the need for law enforcement.

    Note: Members who have had their participation in the WIMF or WIM suspended or terminated by reason of breaching this agreement for any reason, including but not limited to engaging in prohibited content or activity in the WIMF, are not entitled to membership dues refund(s) of any kind whatsoever.

    Prohibited content and activity on the WIMF includes, but is not limited to, content and activity that, in the sole discretion of WIM:

    1. Spams the WIMF community;
    2. Harasses any of our members or advocates harassment of another person
    3. Is irrelevant to WIM members and/or the WIM mission;
    4. Lacks professionalism and courtesy
    5. Engages in personal attacks against any of our members
    6. Contains deeply personal and/or diary-like information and opinions;
    7. Contains complaining and whining about your personal life;
    8. Contains personal opinions on politics, race, or religion;
    9. Engages in behavior or activity that results in complaints from other members in the WIMF, and is also deemed unreasonably intrusive, offensive, unprofessional, inappropriate, or in poor taste in the sole discretion of WIM;
    10. Is patently offensive and/or promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
    11. Contains unsolicited resumes
    12. Contains nudity, excessive violence, or offensive subject matter or contains a link to an adult website;
    13. Posts information that poses or creates a violation of privacy or security risk to any person;
    14. Constitutes or promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
    15. Constitutes or promotes an illegal or unauthorized copy of another person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files;
    16. Involves the transmission of “junk mail,” or “chain letters,”;
    17. Furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone’s privacy, or providing or creating computer viruses;
    18. Solicits passwords or personal identifying information for commercial or unlawful purposes from other members;
    19. Includes a photograph or video of another person that you have shared or posted without that person’s consent;
    20. Violates the privacy rights, publicity rights, copyrights, trademark rights, contract rights or any other rights of any person or party, or constitutes defamation;
    21. Criminal or tortious activity of any kind, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
    22. Activity that involves the use of viruses, Trojan horses,bots, worms, or any other computer code, files or programs that interrupt, destroy or limit the functionality of email accounts, any computer software or hardware, the WIMF, or otherwise permits the unauthorized use of or access to a computer or a computer network;
    23. Interfering with, disrupting, or creating an undue burden on the WIMF
    24. Impersonating or attempting to impersonate another Member, person or entity;
    25. Contains gossip or profanity
    26. Email and Computer hacking
    27. Using the WIMF in a manner inconsistent with any and all applicable local, state, and federal laws and regulations.

  6. Limitation on Liability and Disclaimers.
    WIM cannot, and does not guarantee or warrant that the WIMF will be uninterrupted or error-free or that defects in it will be uninterrupted or error-free or that defects in it will be corrected or that the WG or the server(s) that make it available are free of viruses or other harmful components to your email account(s), computer(s), or network(s).
    WIM cannot and does not guarantee that any files shared by members that participate in the WIMF which are available for downloading will be free of viruses, Trojan horses, or other code that may cause damage or harm to your email account(s), computer(s) or network(s). Further, WIM is not responsible for any injury or damage to any computer equipment or email account(s) belonging to any member resulting from their participation in the WIMF. The WIMF is provided “AS IS” and, except as otherwise prohibited by applicable law, we expressly disclaim any warranty of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement.
    WIM is not responsible for any incorrect, inaccurate, illegal or unprohibited content, activity or conduct, whether online or offline, by any member that participates in the WIMF. Under no circumstances will WIM be held liable or secondarily liable for any loss, liability or damage of any kind resulting from the content, activity, or conduct, whether online or offline, by any member in the WIMF, including but not limited to copyright or trademark infringement, defamation, harassment, personal injury, death or property damage.
    WIM cannot, and does not guarantee or promise any specific results from use of the WIMF. In no event shall WIM, its directors, officers, employees, volunteers, agents, contractors, suppliers, licensors or third parties connected with WIM be liable for any damages resulting from your participation in the WIMF, whatsoever, including, but not limited to, any special, incidental, or consequential damages, direct or indirect damages, damages for lost profits, lost business, loss of revenue or loss of use, and any other losses or expenses arising out of or related to any use, whatsoever, of the WIMF.

  7. Indemnification
    You agree to indemnify and hold WIM and its subsidiaries, affiliates, officers, directors, members, volunteers, managers, agents, representatives, employees and corporate or other partners harmless from any loss, liability, claim, expenses or demand, including reasonable attorneys’ fees and costs, arising out of or relating to your participation in the WIMF.

  8. Miscellaneous
    This Agreement is governed by and construed in accordance with the laws of the State of New York, United States of America, without regards to its principles of conflicts of law. In the event of any claim or litigation resulting out of this agreement, you agree to submit to the exclusive jurisdiction of any State or Federal court located in the County of New York, NY, United States of America, and waive any jurisdictional, venue or inconvenient forum objections to such courts. If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire Agreement relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements or representations made by WIM with respect to such subject matter. This Agreement is not assignable, transferable or sublicenseable by you except with WIM’s prior written consent. No waiver by WIM of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

  9. User Generated Profiles.
    In creating their user-generate profiles for the WIMF, Members are prohibited from
    1. Publishing inaccurate information
    2. Creating a user profile for anyone other than a natural person
    3. Uploading a profile image that is not your likeness or a head-shot photo
    4. Falsely stating, impersonating or otherwise misrepresenting your identity, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present
    5. Including information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
    6. Violating or otherwise infringing the intellectual property rights of any third party

Panelist Directory Privacy Policy

  1. Women in Music Panelist Directory Privacy Policy
    This Privacy Policy explains how Women in Music (WIM) may collect, use, share, and safeguard information contained in the WIM Panelist Directory and on www.womeninmusic.org, mobile websites, microsites, mobile applications, WIM profiles on WIM social media sites and other digital services and platforms officially operated or used by WIM from time to time (the “Site” or “Services”).

  2. Changes to the Privacy Policy
    As WIM, its membership and services change from time to time, this Privacy Policy is expected to change as well. We reserve the right to amend the Privacy Policy at any time, for any reason. The date of the last revision to the Privacy Policy will be indicated by the “Last updated” date at the bottom of this page. We will post notice on the WIM website should changes be made to this Privacy Policy.

  3. Information We Collect
    We may collect information (whether online, by phone, or by paper) that identifies you (“Personally Identifiable Information”) when you: provide such information for use in the Panelist Directory, on our Sites, apply or register for WIM events, or otherwise interact with WIM, including, but not limited to, applying for membership, or registering for a WIM event or program. If you correspond with us by email, we may retain the content of your email messages, your email address and our responses. The types of Personally Identifiable Information collected may include your name, address, phone number, birth date, billing and delivery information, Email address, credit card, or other financial account information.

  4. How We Use and Share Personally Identifiable Information
    Once collected, WIM may use your Personally Identifiable Information in a variety of ways including, but not limited to:
    • “Match” WIM members with speaking engagements, panelist opportunities, employment opportunities, or other relevant opportunities
    • Provide service communications such as bill reminders, order confirmations, program registrations and customer service messages
    • Respond to your emails or online requests for services or information
    • Deliver and process surveys
    • Personalize and improve the usability of the Sites
    • Publish membership directories and registration lists as described below
    • Share your email address as permitted under WIM Email Policy as described below
    • Tailor content, advertising and marketing to you
    • Share with third parties as required by law or to protect WIM as described below

    Publication of Your Personally Identifiable Information for Membership Directories and Registration Lists. To allow other WIM members and the public to find you, the Personally Identifiable Information we receive may be published in the WIM Panelist Directory, on the Site and other print or digital media, in a variety of ways, including, but not limited to, directories, membership lists, and other types of registration lists for WIM programs and events. We will not include sensitive information, such as credit card or bank information, or social security numbers. WIM members may request their information be suppressed from such use by contacting us as: membership@womeninmusic.org

    Sharing Your Email Address Pursuant to WIM Policy. WIM will not sell or rent email addresses to anyone outside of WIM. WIM will also not share email addresses to unrelated third-parties or affiliates, except as stated below. Please understand, however, that your email address may be visible to other WIM members and others who have an interest in WIM and WIM events, as set forth above. WIM may also share your email address with third parties to enable WIM to take security measures to help protect against unauthorized access to or unauthorized alteration, disclosure, or destruction of data. Finally, WIM may share email addresses with third parties as necessary for WIM to perform certain services on our behalf, such as processing event registrations and to respond to your service requests.

    Sharing Your Personally Identifiable Information When Legally Necessary or to Protect WIM’s Interests. WIM may disclose your Personally Identifiable Information if required to do so by law or in the good-faith belief that such action is necessary to: (a) conform to legal requirements or comply with legal process served on WIM; (b) protect and defend the rights or property of WIM; or (c) protect the personal safety of WIM personnel or members of the public in appropriate circumstances. In addition, if WIM and/or its assets or a portion thereof are sold, assigned, transferred, or merged, or if WIM undergoes some other change including a change to its corporate form as part of a bankruptcy proceeding or otherwise, information may be transferred as part of that transaction or change.

  5. Information Security
    WIM implements commercially reasonable security measures to help protect against unauthorized access to or unauthorized alteration, disclosure, or destruction of data. Except for the sharing of information as set forth in this Privacy Policy, we restrict access to personal information to certain contractors, agents, companies and volunteers who many need to know that information in order to operate, develop, or improve our services. These individuals, entities and companies are bound by confidentiality obligations and may be subject to discipline, including termination and criminal prosecution, if they fail to meet these obligations.
